These Terms and Conditions govern the use of our brokerage services, establishing the legal framework for transactions between shippers, carriers, and Ironwood. By engaging with our services, you ("Customer") acknowledge and agree to these terms.
2. Definitions

Broker: Ironwood Logistics Group acts as a transportation intermediary, arranging shipments between carriers and shippers.

Carrier: The transportation provider contracted to move freight.

Shipper: The entity requesting freight transportation services.

Consignee: The final recipient of goods transported under a shipment contract.

Bill of Lading (BOL): A legal document outlining shipment details and responsibilities.

Force Majeure: Events beyond control (e.g., weather, labor disputes, government actions) that may impact service delivery.
3. Services
Ironwood operates exclusively as a freight brokerage and does not transport freight directly. Our role is limited to coordinating logistics, negotiating rates, and facilitating communication between shippers and carriers.
4. Customer Responsibilities

Accurate Information: Customers must provide correct shipment details, including weight, classification, hazardous materials disclosures, and pickup/delivery addresses.

Regulatory Compliance: Customers must comply with applicable laws, including DOT, FMCSA, and other transportation regulations.

Packaging & Labeling: Proper packaging and clear labeling are required for all shipments to prevent damage or loss.

Shipment Readiness: Shipments must be available for pickup at agreed times. Delay-related costs may apply.
5. Carrier Responsibilities

Service Standards: Carriers must meet industry safety and operational standards and maintain valid insurance.

Performance & Delays: Carriers must make reasonable efforts to deliver shipments as scheduled. Ironwood is not liable for transit delays beyond our brokerage role.

Claims Process: Any claims related to loss, damage, or delays must be filed directly with the carrier per their insurance policies.
6. Payment Terms

Rates & Quotes: Freight rates are subject to market fluctuations and agreed upon per contract.

8. Force Majeure
Ironwood is not responsible for failures or delays caused by natural disasters, government regulations, strikes, labor disputes, or other unforeseeable events.
9. Dispute Resolution
Disputes arising under these terms will be handled through:
